Terms of Service
Version 2026-09-25, in force from 25 September 2026. See also the Data Processing Agreement.
These Terms of Service (the “Terms”) govern the use of Bookrail, a booking infrastructure service provided by MP Informatica Srl, a limited liability company incorporated in Italy, with registered office at Strada di Santa Bona Nuova 33/B, 31100 Treviso (TV), Italy, VAT number and tax code 05355370262, registered with the Companies Register of Treviso and Belluno, REA number TV-437915 (“Bookrail”, “we”, “us”).
By creating an account, requesting an API key, or using the Service, you agree to these Terms on behalf of the business you represent (the “Customer”, “you”). If you do not agree, do not use the Service.
1. Who may use the Service
1.1. Business use only. The Service is offered only to businesses, professionals and public bodies acting for purposes related to their trade, business, craft or profession. By accepting these Terms you declare that you are not acting as a consumer. Consumer protection rules that apply only to consumers, including the Italian Consumer Code (Legislative Decree 206/2005), do not apply to this relationship.
1.2. Authority. The person who accepts these Terms declares that they have the authority to bind the Customer. If they do not, they accept these Terms personally.
1.3. Paid plans. To subscribe to a paid plan you must provide a valid VAT number or equivalent tax identifier and a billing address. We may verify them, including through the EU VIES system, and may refuse or suspend a paid plan if they are not valid.
2. Definitions
- “Service”: the hosted Bookrail API at
api.bookrail.dev, the dashboard atbookrail.dev/dashboard, and any other hosted component we operate, in both the test and the live environments. - “Software”: the Bookrail engine, API, command line interface, MCP server and SDKs that we publish as open source. The Software is licensed separately (Section 10.2) and these Terms do not apply to copies of the Software you run yourself.
- “Account”: the account created for the Customer, with its projects and API keys.
- “Customer Data”: all data that you, or anyone using your API keys, submit to the Service, including data about your own customers and users (“End Users”).
- “Plan”: the Free, Pro, Scale or Enterprise plan, as described on the pricing page at
bookrail.dev/pricing(the “Pricing Page”). - “Live environment” and “test environment”: the two environments of each project, selected by the API key used. Only the live environment produces real bookings and counts towards the Plan.
3. The Service
3.1. What we provide. The Service computes availability, takes and manages bookings, applies the policies you configure, emits events and webhooks, and, if you connect your own Stripe account, orchestrates deposits, payments and refunds on that account. The documentation at bookrail.dev/docs describes how the Service works and is part of how we describe the Service, not a warranty.
3.2. Your Stripe account. Payments orchestrated by the Service are charges made directly on your own Stripe account, connected through Stripe Connect, under the agreement between you and Stripe. Bookrail does not receive, hold or transfer your funds or those of your End Users, is not a payment institution, and is not a party to the payment. Stripe’s fees for those payments are charged to you by Stripe. The fee we charge for orchestrated payments (Section 6.4) is a price for our orchestration service and not a commission on your revenue.
3.3. Changes to the Service. The Service evolves. We may add, change or remove features. If we remove a feature of a paid Plan that you actively use, or make a change to the API that is not backward compatible, we will give you at least 30 days’ notice, except where a shorter period is required for security or by law.
3.4. Service levels. Unless a signed Enterprise agreement says otherwise, the Service is provided without a service level agreement and without uptime commitments. We will make reasonable efforts to keep the Service available and to announce planned maintenance in advance.
3.5. Support. Support is provided through the channels and within the indicative response times stated on the Pricing Page for your Plan. Response times are targets measured on Italian business days, not guarantees of resolution.
4. Your account and API keys
4.1. Keys are credentials. API keys and dashboard sign-in links give access to your Account. Keep them confidential, do not embed secret keys in code that runs on devices you do not control, and revoke a key as soon as you suspect it is exposed. You are responsible for all use of the Service made with your keys, until you revoke them.
4.2. Accurate information. Keep the email address of the Account owner and your billing information accurate and up to date. Notices under these Terms are sent to that email address.
4.3. One self-service account per email address. Additional accounts are available on request.
5. Acceptable use
5.1. You must not use the Service, or allow it to be used:
(a) to take bookings for, or in support of, any activity that is unlawful in the place where it is offered or where the End User is located;
(b) to process data that you have no lawful basis to process, or special categories of personal data (Article 9 GDPR) unless you have a lawful basis and have first agreed with us in writing the additional measures required;
(c) to send unsolicited communications, or in breach of the rights of any person;
(d) to probe, scan or test the vulnerability of the Service, or circumvent authentication, rate limits or plan limits, except through a responsible disclosure to hello@bookrail.dev;
(e) in a way that imposes an unreasonable load on the Service, or interferes with its use by other customers;
(f) to resell, sublicense or offer the Service to third parties as a standalone booking API, without our written consent. Building your own product on top of the Service and offering it to your customers is allowed and is the purpose of the Service.
5.2. Rate limits and plan limits are part of the Service. When a Free Plan reaches its monthly limit, new live bookings are refused until the next calendar month or until you upgrade, as described on the Pricing Page. This is how the Free Plan works and is not a breach or a suspension.
6. Plans, fees and billing
6.1. Free Plan. The Free Plan costs nothing and includes the quantities stated on the Pricing Page. It stops accepting new live bookings when its limit is reached.
6.2. Paid Plans. Pro and Scale are monthly subscriptions paid in advance, plus usage beyond the included quantities paid in arrears, at the prices on the Pricing Page on the date the relevant period starts. Enterprise is available only under a separate signed agreement.
6.3. Billing period. Subscriptions renew on the first day of each calendar month (UTC). The first period runs from the day you subscribe to the first day of the following month and is charged pro rata.
6.4. Usage fees. At the end of each calendar month we charge, on the invoice for the following month: (a) the confirmed live bookings of the month beyond those included in your Plan, at the unit price of the Plan, and (b) the orchestrated payments fee, calculated as the percentage of your Plan applied to the payments that succeeded in your live environment during the month, net of refunds made in the same month. The quantities are those recorded by the Service, which you can see in the dashboard, through GET /v1/project, and in the Bookrail-Plan-Usage header. Test environment usage is never charged.
6.5. Taxes. Prices are stated exclusive of VAT and of any other tax. VAT is applied as required by law: Italian VAT for customers established in Italy; reverse charge for business customers established in another EU member state with a valid VAT number; no Italian VAT for business customers established outside the EU.
6.6. Payment. Payments are collected by card or by the other methods offered at checkout, through Stripe. You authorise us, and Stripe on our behalf, to charge the payment method on file for all amounts due. The documents that Stripe makes available (receipts and payment summaries) are not tax invoices. Where Italian law requires it, we issue electronic invoices through the Italian Exchange System (SdI).
6.7. Failed payments. If a payment fails, we and Stripe will retry it and notify you. If the amount is still unpaid 14 days after the first failed attempt, the subscription ends and your Account moves to the Free Plan, with its limits. Your Customer Data is not deleted because of a failed payment. Amounts due remain due.
6.8. Changing Plan. You can move to a higher Plan at any time; the change is immediate and the difference is charged pro rata. You can move to a lower Plan or cancel a paid Plan at any time; the change takes effect on the first day of the following calendar month, and you keep the current Plan until then. Fees already paid are not refunded, except where required by law or by Section 13.3.
6.9. Price changes. We may change our prices with at least 30 days’ notice, sent by email and published on the Pricing Page. A change applies from the first billing period that starts after the notice period. If you do not accept it, you may cancel before it takes effect.
7. Customer Data and personal data
7.1. Ownership. You own the Customer Data. You grant us the right to host, process, transmit and display Customer Data only to provide, secure and support the Service, to comply with law, and as described in the Data Processing Agreement.
7.2. Roles. For personal data contained in Customer Data, you are the controller (or a processor acting for your own customer) and we are your processor. The Data Processing Agreement at bookrail.dev/dpa (the “DPA”) forms part of these Terms and applies automatically, without a separate signature. For the personal data we collect to run your Account (such as the Account owner’s email address and billing information), we are the controller, as described in our privacy notice at bookrail.dev/privacy.
7.3. Your responsibilities. You are responsible for the lawfulness of Customer Data, for informing your End Users and obtaining any consent you need, and for configuring the Service (including retention and deletion through the API) in line with your obligations.
7.4. Aggregated information. We may use aggregated and anonymous information about the use of the Service (such as request volumes and error rates) to operate and improve it. Such information does not identify you, your End Users or any natural person.
7.5. Location. We host Customer Data in the European Union. The sub-processors we use are listed in the DPA.
8. Security
We implement and maintain the technical and organisational measures described in the DPA. You are responsible for the security of your own systems, of your API keys, and of the devices and accounts you use to access the Service.
9. Confidentiality
Each party will keep confidential the non-public information of the other party that it receives in connection with the Service and that is marked as confidential or should reasonably be understood to be confidential, will use it only to perform these Terms, and will disclose it only to its personnel and advisers who need to know it and are bound by equivalent obligations, or where required by law. This obligation survives termination for three years, and indefinitely for Customer Data and for trade secrets.
10. Intellectual property
10.1. The Service. We own the Service, the Bookrail name and marks, and our website and documentation. These Terms do not grant you any right to our marks.
10.2. The Software. The Software is licensed under the Apache License, Version 2.0, and nothing in these Terms restricts the rights that licence gives you. The Apache License governs the Software; these Terms govern the hosted Service.
10.3. Feedback. If you send us suggestions or feedback, we may use them without obligation to you.
11. Suspension
11.1. We may suspend access to the Service, in whole or in part, with prior notice where reasonably possible and otherwise immediately, if: (a) your use poses a security risk to the Service or to others; (b) your use breaches Section 5 or applicable law; (c) we are required to do so by law or by an authority; or (d) an amount due remains unpaid after the period in Section 6.7, limited in that case to the move to the Free Plan.
11.2. We will limit a suspension to what is necessary, tell you why, and restore access as soon as the reason is removed.
12. Term and termination
12.1. Term. These Terms apply from the moment you accept them until your Account is closed.
12.2. By you. You may close your Account at any time by writing to hello@bookrail.dev from the Account owner’s address, or from the dashboard once it offers that option. Closing an Account ends any paid Plan at the end of the current calendar month.
12.3. By us, for breach. We may close your Account with written notice if you materially breach these Terms and do not remedy the breach within 15 days of our notice, or immediately if the breach cannot be remedied or concerns Section 5.1(a) or (b).
12.4. By us, for convenience. We may close your Account with at least 60 days’ written notice. In that case we refund any fees paid for periods after the closing date.
12.5. Inactive Free accounts. If a Free Account makes no API request and no dashboard sign-in for 12 consecutive months, we may send a notice to the Account owner; if the Account remains inactive for 30 days after the notice, we may close it and delete its data under Section 12.6.
12.6. After closing. For 30 days after an Account is closed you may export Customer Data through the API and the command line interface, which remain available for that purpose. After that period we delete Customer Data from the Service. Copies in encrypted backups are deleted when those backups expire under our rotation, within a further 30 days. We keep the records we are required to keep by law, such as invoices and billing records, for the period the law requires.
12.7. Survival. Sections 6 (for amounts due), 7, 9, 10, 12.6, 13, 14, 15 and 16 survive termination.
13. Warranties and disclaimers
13.1. We will provide the Service with reasonable skill and care, in line with the documentation.
13.2. To the maximum extent permitted by law, and except as stated in Section 13.1, the Service is provided “as is” and “as available”, and we give no other warranty, express or implied, including of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation. The test environment is provided for testing only.
13.3. If the Service materially fails to conform to Section 13.1 and we do not remedy the failure within 30 days of your written notice, you may terminate your paid Plan and receive a refund of fees paid for the period after termination. This is in addition to, and does not limit, Section 14.
14. Limitation of liability
14.1. Indirect loss. Neither party is liable to the other for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss, however arising.
14.2. Cap. Each party’s total liability arising out of or in connection with these Terms in any twelve-month period is limited to the greater of (a) the fees paid and payable by the Customer for the Service in the twelve months before the event giving rise to the liability and (b) one hundred euro (EUR 100).
14.3. What is not limited. Nothing in these Terms limits or excludes liability for wilful misconduct (dolo) or gross negligence (colpa grave), for death or personal injury caused by negligence, for the Customer’s obligation to pay fees, for the Customer’s obligations under Section 15, or any liability that cannot be limited or excluded under applicable law, including Article 1229 of the Italian Civil Code.
15. Indemnity
You will indemnify us against claims by third parties, including End Users and authorities, and the related losses and reasonable costs, to the extent they arise from Customer Data, from your use of the Service in breach of Section 5 or of applicable law, or from your relationship with your End Users, provided that we notify you promptly of the claim, let you control its defence, and cooperate reasonably.
16. General
16.1. Changes to these Terms. We may change these Terms. We will notify material changes by email at least 30 days before they take effect, and publish the new version with its date at bookrail.dev/terms. If you do not accept a change, you may close your Account before it takes effect; otherwise the new version applies from its effective date. Changes required by law or made only for your benefit may take effect earlier.
16.2. Entire agreement. These Terms, the DPA and the Pricing Page are the entire agreement between the parties about the Service and replace any prior understanding. A signed Enterprise agreement prevails over these Terms where they conflict.
16.3. Assignment. You may not assign these Terms without our consent, which we will not unreasonably withhold. We may assign them to an entity that acquires the business of the Service, with notice to you.
16.4. Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including failures of hosting providers, networks or payment providers that it could not reasonably avoid, provided that it takes reasonable steps to limit their effect.
16.5. Notices. We send notices to the Account owner’s email address. You send notices to hello@bookrail.dev. A notice sent by email is received on the business day after it is sent.
16.6. Severability and waiver. If a provision is held invalid, the rest remains in force, and the invalid provision is replaced by a valid one as close as possible to its purpose. Not enforcing a right is not a waiver of it.
16.7. Language. These Terms are written in English, which is the only binding version. Any translation is provided for convenience only.
16.8. Governing law and jurisdiction. These Terms are governed by Italian law, excluding the United Nations Convention on Contracts for the International Sale of Goods. The courts of Treviso, Italy, have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
17. Specific approval
Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the Customer specifically approves the following clauses: 3.3 (changes to the Service), 3.4 (no service levels), 5.2 (plan limits), 6.7 (failed payments and move to the Free Plan), 6.8 (no refunds on downgrade and cancellation), 6.9 (price changes), 11 (suspension), 12.3, 12.4 and 12.5 (termination by us and inactive accounts), 13.2 (disclaimer of warranties), 14 (limitation of liability), 15 (indemnity), 16.1 (changes to these Terms), 16.3 (assignment) and 16.8 (governing law and exclusive jurisdiction).
